These Terms of Use (the "Terms") govern your access to and use of Brainy Oman, the marketing and portfolio website at https://brainy.om, including all related pages and content (together, the "Site"), provided by Brainy Oman("Brainy", "we", "us", or "our").

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by them.

1. Acceptance of Terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy and Cookie Policy. If you do not agree, do not access or use the Site.

If you use the Site on behalf of an organization (for example, when enquiring about our services for an Omani enterprise), you represent that you have authority to act for that organization, and "you" refers to that organization.

2. Eligibility

The Site is a business-to-business marketing site intended for an adult, professional audience. You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Site. By using the Site, you represent that you meet these requirements.

3. The Site and your license to use it

The Site provides information about Brainy, our work as a digital growth partner for Omani enterprises, our portfolio, and ways to get in touch with us. It is an informational website, not a paid product or service.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your own informational and non-commercial use, and for legitimate business communication with us. This license does not transfer any ownership of the Site or its content to you.

We may modify, suspend, or discontinue any part of the Site at any time. We will use reasonable efforts to give notice of material changes where practical.

4. Acceptable use and prohibited conduct

You agree not to, and not to permit others to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation, including the laws of Oman.
  • Infringe the intellectual property or other rights of Brainy or any third party.
  • Copy, scrape, harvest, or collect data or content from the Site except as expressly permitted, or use the Site's content to build or train any product or model where not permitted.
  • Reverse engineer or attempt to derive the underlying code of the Site, except where this restriction is prohibited by law.
  • Circumvent, disable, or interfere with security or access controls.
  • Upload or transmit malware, or otherwise harm, overload, or disrupt the Site or its infrastructure.
  • Send spam or unsolicited communications through our contact channels, or impersonate any person or entity.

We may investigate and take appropriate action, including blocking access, for any violation.

5. Intellectual property

The Site, including its software, design, layout, text, graphics, logos, trademarks, and the portfolio work and case studies shown on it, is owned by Brainy or its clients and licensors and is protected by intellectual property laws. Portfolio and client work is displayed for showcase purposes and remains the property of its respective owners. Except for the limited license in Section 3, no rights are granted to you. All rights not expressly granted are reserved.

"Brainy", "Brainy Oman", and our logos are trademarks of Brainy. You may not use them without our prior written permission, except as allowed by our brand or media guidelines, if any.

6. Third-party links and services

The Site may contain links to, or embed, third-party websites and services that we do not control (for example, our clients' sites, social media profiles, or embedded media). We are not responsible for their content, policies, or practices. Your use of any third-party service is governed by that party's terms, not ours.

7. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE INFORMATION AND PORTFOLIO MATERIALS ON IT ARE COMPLETE, CURRENT, OR ACCURATE FOR YOUR PURPOSES.

Nothing on the Site is an offer, a binding proposal, or professional advice. Any engagement of Brainy's services is subject to a separate written agreement.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRAINY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED 100 OMR (one hundred Omani Rial).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Brainy and its owners, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

10. Termination and suspension

You may stop using the Site at any time.

We may suspend, block, or terminate your access to the Site, with or without notice, if you breach these Terms, if required by law, or to protect the Site or other users. We may also modify or discontinue the Site.

Sections that by their nature should survive (including Sections 5, 7, 8, 9, 11, and 12) will survive any termination.

11. Governing law and disputes

These Terms are governed by the laws of the Sultanate of Oman, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Site will be subject to the exclusive jurisdiction of the courts of Muscat, Oman, and you consent to their jurisdiction.

This governs the website's own terms only. Any engagement of Brainy's services is governed by a separate signed agreement between Brainy and the client, which may specify its own governing law and venue. These Terms do not depend on, and do not change, that separate agreement.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide notice through the Site where appropriate. Your continued use of the Site after the changes take effect means you accept the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect.

14. Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding your use of the Site, and they supersede any prior understandings on that subject. They do not govern any separate written services agreement between Brainy and a client, which controls for that engagement.
